RELEASE TERMS AND CONDITIONS:
Terms and Conditions Agreement.
By submitting your images to Retro Lovely Publishing ; hereafter referred to as “the Publisher”) you ("the Photographer") and you (“the model”) agree to the following terms and conditions:
1. Grant of Rights
1.1 The Photographer hereby grants the Publisher a non-exclusive, worldwide license to publish, distribute, display, and reproduce the submitted images ("the Work") in any and all formats (including print, digital, and online) for use in the Publisher’s associated websites, social media, promotional materials, and any related platforms.
1.2 This license includes the right to use, crop, resize, or modify the Work for editorial purposes, while maintaining the integrity of the original image.
1.3 The Photographer retains all copyright to the Work, but the Publisher is granted the right to archive and use the Work for historical, educational, and reference purposes.
1.4 The Model hereby grants the Publisher, its affiliates, licensees, and successors, the right to use, publish, reproduce, and distribute photographs and images submitted images featuring the Model's likeness ("the Images") in the Publisher’s associated platforms, including but not limited to print, digital editions, social media, promotional materials, and websites.
1.5 This grant of rights includes the ability to edit, crop, resize, or otherwise modify the Images, provided that such alterations do not distort the Model's likeness in a defamatory or derogatory manner.
1.6 The Model agrees not to misrepresent themselves as the creator, author, or photographer of the Images submitted to the Publisher.
1.7 The Model agrees that they will not mislead, imply, or make any public or private statements that would suggest that they are the Photographer, including in communications with the Publisher, or in any public or promotional appearances.
2. Credit and Attribution
2.1 The Publisher will give proper credit to the Photographer whenever the Work is published, unless otherwise requested by the Photographer in writing.
2.2 The Publisher is not liable for any third party's failure to provide credit, or for any alterations to the Work made by third-party platforms.
3. Usage Fee
3.1 In consideration for the rights granted, the Photographer and Model agrees to no compensation from the Publisher whatsoever.
4. Moral Rights
4.1 The Photographer asserts their moral rights over the Work in accordance with applicable law, including the right to be identified as the creator of the Work and to object to any derogatory treatment that could be prejudicial to their reputation.
4.2 The Publisher agrees to respect the moral rights of the Photographer in its use of the Work.
5. Representations and Warranties
5.1 The Photographer warrants that:
• The Work is original and does not infringe on the rights of any third party, including copyright, trademark, or privacy rights.
• The Work has not been previously licensed or assigned to any third party in a way that would conflict with this agreement.
• Any required releases (e.g., model releases) have been obtained for the people or properties depicted in the Work.
5.2 The Photographer and Model agrees to indemnify and hold harmless the Publisher from any claims, liabilities, damages, or expenses arising from any breach of these warranties.
5.3 The Model agrees to indemnify, defend, and hold harmless the Publisher, its agents, employees, affiliates, and representatives from any and all claims, damages, or liabilities arising from any misrepresentation by the Model regarding authorship, copyright, or ownership of the Images.
5.4 The Model further agrees that any breach of these terms, including misrepresentation of authorship, may result in legal action by the Publisher and/or Photographer, including claims for damages, legal fees, and any associated costs.
6. Governing Law and Dispute Resolution
6.1 This agreement will be governed by and construed in accordance with the laws of Maryland.
6.2 Any disputes arising under or in connection with this agreement shall be resolved by arbitration in Maryland.
7. Entire Agreement
7.1 This agreement constitutes the entire understanding between the Photographer and the Publisher with respect to the Work and supersedes any prior agreements, written or oral, relating to the subject matter herein.
7.2 Any amendments to this agreement must be made in writing and signed by both parties.
By submitting your Work to the Publisher, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
